Shareholders who wish to have a topic dealt with at the AGM shall, in order for the request to be taken into consideration, submit such proposals to the Board latest by March 17, 2021. According to the instructions for the Nomination Committee adopted at the AGM on May 15, 2020, the Nomination Committee shall consist of four members, representing the three largest shareholders as of September 30, 2020, together with the Chairman of the Board. If any of the three largest shareholders do not want to be represented in the Nomination Committee, the question will proceed to the next shareholder in descending order of magnitude. The largest shareholders mean the owner-grouped registered shareholders or otherwise known shareholders as of September 30, 2020. If there are ranking changes among the largest shareholders after September 30, 2020, this will be taken into account.
Based on the above, the Nomination Committee for the 2021 AGM has been set up to consist of the following persons, which together represent approximately 20 percent of the number of shares and votes in the company:
The Nomination Committee’s proposal will be presented in the notice convening the AGM 2021 and on the Company’s website, ir.polygiene.com.
Shareholders who wish to submit proposals to the Nomination Committee are welcome to contact the Nomination Committee. In order for the Nomination Committee to take into account a proposal, the proposal must be received in good time before the AGM, but no later than February 25, 2021.
